When participating in our services, especially origin immersion trips, you agree to:

  • Treat farming communities and their families with respect and dignity
  • Follow cultural protocols and guidance provided by local coordinators
  • Obtain permission before photographing people or private property
  • Maintain appropriate behavior and avoid actions that could harm our relationships with farming partners

2.3 Information Accuracy

You are responsible for providing accurate, current, and complete information when registering for services, making purchases, or communicating with us. You must promptly update this information if it changes to ensure we can fulfill our obligations to you.

2.4 Indemnification

You agree to indemnify and hold harmless Terroir Collective, our partners, and our affiliates from any claims, losses, damages, or expenses arising from your breach of these terms, violation of applicable laws, or infringement of third-party rights.

3. Partnership-Specific Obligations

For Farm Partnership Subscriptions: You understand that coffee quality and delivery timing may vary based on harvest cycles, weather conditions, and agricultural factors beyond our control. You agree to maintain reasonable expectations and communicate any concerns through appropriate channels.

For Origin Immersion Trips: You acknowledge that travel to coffee-growing regions involves inherent risks. You are responsible for obtaining appropriate travel insurance, vaccinations, and ensuring you meet health requirements for international travel. You agree to follow safety guidance provided by trip coordinators.

For Transparency Sourcing Services: Business clients agree to honor the terms negotiated with farming partners and to maintain transparent practices in their marketing and sales of coffee products sourced through our services.

4. Disclaimers and Warranties

4.1 Service Disclaimer

Our services are provided "as is" without warranties of any kind, whether express or implied. We make no warranties regarding the uninterrupted availability, accuracy, or reliability of our services. We do not guarantee specific outcomes from farm partnerships or business relationships facilitated through our services.

4.2 Agricultural Product Disclaimer

Coffee is an agricultural product subject to natural variations. We do not warrant specific flavor profiles, yields, or quality levels, as these depend on factors including weather, soil conditions, processing methods, and timing that are beyond our control. While we work with skilled farming communities, harvest results can vary from season to season.

4.3 Third-Party Disclaimer

We work with independent farming cooperatives who make their own decisions regarding agricultural practices. While we vet our partners carefully, we are not responsible for the actions or decisions of these independent organizations. Our role is to facilitate connections and provide transparency, not to control farming operations.

4.4 Content Disclaimer

Information provided through our website and communications is for general informational purposes. We strive for accuracy but do not warrant that all information is current, complete, or error-free. You should not rely solely on our information for critical decisions without independent verification.

5. Limitation of Liability

5.1 General Limitations: To the maximum extent permitted by law, Terroir Collective shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses resulting from your use of our services.

5.2 Direct Damages Cap: Our total liability for any claims arising from or related to our services shall not exceed the amount you paid us in the twelve months preceding the claim, or one hundred dollars ($100 USD), whichever is greater.

5.3 Travel and Trip Liability: For origin immersion trips, our liability is limited to direct costs paid for trip services. We are not liable for travel delays, cancellations, injury, illness, property damage, or other incidents occurring during travel. Trip participants are strongly encouraged to obtain comprehensive travel insurance.

5.4 Force Majeure: We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, war, civil unrest, labor disputes, governmental actions, or agricultural calamities affecting farming partners.

6. Dispute Resolution

6.1 Informal Resolution: In the event of any dispute, controversy, or claim arising from these terms or our services, you agree to first contact us to attempt to resolve the matter informally. We commit to working in good faith toward reasonable solutions.

6.2 Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration rather than in court, except where prohibited by law. Arbitration proceedings shall be conducted according to applicable arbitration rules and shall take place in a mutually agreed location or remotely.

6.3 Class Action Waiver: You agree to bring claims only in your individual capacity and not as part of any class or representative action. Class arbitrations and class actions are not permitted under these terms.

6.4 Governing Law: These Terms and Conditions are governed by applicable laws without regard to conflict of law principles. You consent to the exclusive jurisdiction of courts in our location for any matters not subject to arbitration.

7. Termination

We reserve the right to terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms and Conditions. Upon termination, your right to use our services will cease immediately.

Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Severability

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

These Terms and Conditions, together with our Privacy Policy, Cookie Policy, and Terms of Service, constitute the entire agreement between you and Terroir Collective regarding the use of our services and supersede all prior agreements and understandings, whether written or oral.

Your continued use of our services following the posting of changes constitutes acceptance of those changes. If you do not agree to modified terms, you should discontinue use of our services.
